Re-cap of the Speakers' Comments

On Thursday March 4, 2010, the NIRI Capital Area chapter hosted a luncheon and information session at Charlie Palmer Steak in Washington, DC. Lou Thompson and Karl Groskaufmanis, two renowned experts in the fields of securities regulation and investor relations, provided a detailed overview of Regulation Full Disclosure (Reg. FD) and its implications for the practice of investor relations.

Lou began with a review of historical disclosure practices and the effects of Regulation FD. In the late 1980s and early 1990s, an increase in shareholder lawsuits, primarily over missed earnings statements, resulted in a decline in voluntary disclosure. To fix this problem, Congress passes the Private Securities Litigation Reform Act (PSLRA) in 1995.

In that same year, a NIRI corporate member survey found two-thirds of companies were engaging in various forms of selective disclosure. To address this, NIRI and the Association for Investment Management and Research (AIMR) (now Chartered Financial Analyst (CFA) Institute) formed a task force to develop the best corporate disclosure practices.

In 1998, when SEC began rule-making, it had two difficult issues to resolve: (1) the perception that one-on-one meetings were ripe for selective disclosure, and (2) the Internet could not serve as a means for real-time, full and fair disclosure. NIRI worked with the Securities and Exchange Commission (SEC) staff and overcame both issues.

The CFA Institute, the Securities Industry Association, the Investment Company Institute, the American Bar Association, and major media companies fought the proposed SEC rules. Opponents claimed the rule would result in: (1) a decline in the quality and quantity of corporate information, (2) a wider dispersion of earnings estimates, and (3) greater stock price volatility. NIRI worked with the SEC staff to help craft a rule everyone could live with. In 2000, when the SEC adopted Reg. FD, they provided a “media carve out” that made little difference in corporate disclosure practices.

At the end of his presentation, Lou asked the question, “Are we better off today with Reg. FD?” He shared some conclusions provided by Harvard University Business School Professor Paul Healy, PhD:

- It was necessary to “level the playing field.”
- Investors have broader access to information today, but individual investors cannot compete with professional investors for access and quality of corporate information.
- Material information has been commoditized. This has required both buy and sell side analysts to work harder to make a difference.
- The major concerns of the opponents of Reg. FD were not realized.

The next speaker was Karl Groskaufmanis, who discussed the key points of Reg. FD and the following lessons learned from the SEC’s Reg. FD cases:

(1) The principal legal risk in investor relations contacts now resides with the source of the information.
(2) Changes in earnings guidance must be transparent.
(3) Management must exercise care in confirming earnings guidance.
(4) Materiality judgments are assessed with the benefit of hindsight.
(5) Adhere to a quiet period before reporting results.
(6) Added care must be taken with investor conferences that are not webcast.
(7) Quick action must be taken after an inadvertent disclosure of material, nonpublic information.
(8) Reg. FD training and controls can protect the company.
(9) Good faith reliance on counsel can protect management and the company.

Before Reg. FD, the SEC had never adopted a rule to guide informal communication with the marketplace. Karl noted that informal communication is a continuous process, and it will always be harder to manage and control than a company’s formal periodic reports. The March program ended with a question and answer session with the speakers.

Overall, the presentations were excellent and informative. Our speakers deserve special thanks for sharing their expertise. Attendees left with a great review of ten years of Reg. FD, detailed handouts, and a wonderful lunch!

"Understand your Customer" is a mantra often repeated in any sales relationship. There are very few more important relationships for an IR practitioner than those with the Buy and Sell-side (i.e. the owners or potential owners of a firm's securities and their representatives).

Calculating and Communicating Your Company's Value to the Street - with Doug Wilburne - September 21, 2009

Until recently Matt was an Assistant Director for the 21st Century Disclosure Initiative, a Commission-wide initiative designed to improve the usefulness and timeliness of disclosure for investors and to streamline and modernize the collection of disclosure from companies. He has also served as counsel to Commissioner Kathleen L. Casey, advising her on matters coming before the Commission with a particular focus on matters relating to Corporation Finance and Enforcement. When he served in the Enforcement Division, he was lead litigator and investigator on several matters and was awarded the Director’s Award in 2006 for his contributions to the Enron investigation.

Speaker Bio: Frank M. Hatheway is Chief Economist of the Nasdaq Stock Market Inc., and is responsible for a variety of projects and initiatives to support the Nasdaq market and improve its market structure. Since joining NASDAQ, he has carried out a number of studies on NASDAQ and other markets, developed NASDAQ's opening and closing auctions, advised on major corporate initiatives such as OMX, the Philadelphia Stock Exchange, and the NASDAQ Options Market, and recently developed the economic arguments in NASDAQ's successful Stoneridge amicus brief for the U.S. Supreme Court.

Prior to joining Nasdaq, Dr. Hatheway was a finance professor at Penn State University and a researcher in market microstructure. He has authored academic articles in the Journal of Finance, Journal of Financial Intermediation and other leading finance journals. Dr. Hatheway has served as an Economic Fellow and Senior Research Scholar with the U.S. Security and Exchange Commission and received his Ph.D. in Economics from Princeton University .

  • Sarb I. Shah
    • Mr. Shah is a Partner and leads the research efforts at X-10 Capital, a long/short hedge fund focused on public companies in the Communications and Information Technology sector. Prior to X-10, Mr. Shah served as an Associate with Columbia Capital from 2000 to 2004, working exclusively on venture capital investments in the communication services area. Based in Alexandria, Virginia, Columbia Capital has approximately $1.8 billion of assets under management across three venture capital funds. From 1998 to 2000, Mr. Shah was an Analyst in Legg Mason's Investment Banking team focused on public and private financings of small to medium cap communications companies. Prior to Legg Mason, Mr. Shah was a Manager of Business Development at IDX International, a venture-backed company focused on Internet Telephony. Mr. Shah received his AB in Economics from The University of Chicago.


  • Wenhua Zhang, CFA, CPA
    • Wenhua Zhang is a Vice President of T. Rowe Price Group, Inc., and T. Rowe Price Associates, Inc. He is also a Research Analyst in the Equity Division serving as a small/mid-cap generalist also covering global semi cap equipment under the technology sector. He is a Vice President and Investment Advisory Committee member of the Developing Technologies Fund, Global Technology Fund, Small-Cap Stock Fund and Small-Cap Value Fund, Science & Technology Fund, and Media & Telecommunications Fund. In addition, he is Vice President of the New Horizons Fund. Prior to joining the firm in 2001, he did his summer internship as an Equity Research Analyst for Fidelity Investments in Hong Kong. From 1997 to 1999, he was an associate in the Life and Health Reinsurance Department of the Swiss Reinsurance Company in Zurich. Wenhua earned a B.A. in English and was the valedictorian of his class at the College of Foreign Studies, Ocean University of Qingdao in China. He holds an M.B.A. with dual majors in Finance and Technology Innovation from the Wharton School of Business, University of Pennsylvania. Wenhua is a Chartered Financial Analyst and also holds a Certified Public Accountant certificate (inactive) in the State of Washington.


  • Sahul Sharma
    • Mr. Sharma is a Senior Analyst and a member of the investment committee. His responsibilities include idea generation, research and analysis, while overseeing the day-to-day management of the hedge fund product in the Financial Services, Retail, and Healthcare sectors. Mr. Sharma joined RAM in 2003 after working for nearly four years at SE Banken Asset Management. At SEB, he was the Senior Analyst overseeing the Small Cap Growth Fund product. As a generalist, Mr. Sharma had extensive exposure to industries across the economy, providing a basis for understanding business trends that are applicable across sectors. Prior to SEB, Mr. Sharma worked for GE Capital and was a part of the Financial Management Program, which is designed to develop the next business leaders within General Electric (80% of the CFO's within GE have this background). Mr. Sharma is Six Sigma Green Belt Certified, and has a B.S. in Biology from Clark University.

    • Strategic communications, competitive intelligence, targeting...just a few of the priorities, challenges and actions found in a comprehensive, integrated and effective IR program, from micro-cap to mega. This is exactly what Rivel Research Group found after canvassing 1,400 IROs to finalize study design and content which was later discussed via in-depth telephone interviews with 242 of the most senior investor relations officers in the S&P 1500 group of companies. Rivel's findings were summarized in their fall 2005 study entitled, "Perspectives on Investor Communications." Brian Rivel will present these findings, and will be joined by two seasoned IR professionals, Melissa Adams of WGL Holdings and Michael Gabaly of Lockheed Martin, who will add their perspectives on the practical applications of the findings presented...promising to be valuable for practitioners new to IR as well as enlightening even the most experienced in the crowd!
